Popularity Campaign Terms and Conditions

Upon reading
these nine terms and conditions and clicking the link below signifying
you agree, we will be happy to accept your order and proceed
immediately with your link popularity campaign.
Our link
popularity work is labor-intensive from the start. The selection of
potential link partners, and creation of relevant links through them,
is done by hand. Our link popularity professionals will invest time
and effort in accordance with a mutually agreed-upon Linking Campaign
Plan. While there are many ways to conduct a linking campaign, we
think our proven way is the best way to gather links, in an "Express"
fashion. If you can't agree with our linking methods, the time to
discover that is now, before you place your order. During the linking
campaign, we share responsibility for establishing good relations with
new link partners. Not adhering to these conditions could cause newly
found link partners to drop their link to you, and undermine the
linking campaign, wasting time and effort.
1) This
agreement is between you and/or Your Company ("You"), and
LinkageXpress, Inc. ("LXI")
2) You are
arranging for LXI to secure links to your web site in accordance with
the following terms and conditions posted on our website at
http://www.linkagexpress.com/linking-campaign-terms.htm
3) Your
Company shall pay LinkageXpress 100% in advance.
4) For good
link popularity, you must post a links page, linked to, from your home
page. This page is for the exclusive use of LXI for the duration of
the linking campaign and must not be changed without our express
permission.
5) For good
link popularity, the link to this page must be a simple, static URL
with no parameters, not in JavaScript, nor otherwise "hidden"
including the use of a robots.txt file or other server modification.
A simple, unobtrusive text link at the bottom of your home page to the
links page will suffice. We recommend that you do not use the word
“links” for this. It is better to use “resources” or something
similar.
6) Links
page(s) must be accessible by all search engines and not “hidden” by a
Robots.txt file, cloaking or any other method.
7) The Linking
Campaign will commence upon our mutual agreement to a Link Campaign
Plan, which specifies the criteria for your site. The Link Campaign
will end when the agreed-upon number of links has been secured. The
Campaign Plan will lay down the criteria for creating links and link
popularity. It will take into consideration your site's content,
keywords and intended target audience. Once this linking campaign plan
is agreed upon, the results of our link popularity research are
assumed to be approved.
8) LXI will
submit links to, and remove links from your links page without asking
prior approval from You, and will conduct discussions with potential
link partners on your behalf.
9) LXI will
not take a list of favorite sites from you, and attempt to convince
them to exchange links. You should not expect to select your favorite
links from the list we send you for posting, and reject the rest. We
find sites which already understand the value of linking, which are
ready to host links as defined by the Linking Campaign Plan.
10) The
following actions by you can instantly void our agreement and
Guarantee (at LXI’s option):

If FTP
access is not granted to us, your failure to post or update the
links page provided by LXI within 5 business days;

Removing
the links page; not placing a direct link to the links page from
your home page or changing our list of links without notice
-
Changing
the URL of the links page;
-
Hiding the
links page;
-
Failing to
respond to repeated requests from LXI.

Failing to
maintain the provided “add a link” script on the bottom of the links
page.

Creating or
adding links provided by LinkageXpress to a directory style links
page or combining the links we provide with an existing set of
links.
11) At the
conclusion of the linking campaign we will provide you with a list of
the sites who link to you along with the url of the page where you
will find your link posted.
12) Ongoing
link maintenance packages will be charged to your credit card in
advance, on a monthly basis. The ongoing link maintenance program
commences as soon as the original linking campaign is completed.
13) In
consideration of LinkageXpress delivering a first class linking
campaign, Client agrees to write LinkageXpress a letter of
recommendation within 30 days of the conclusion of the campaign.
Our
Guarantee
We Guarantee to provide you proof that
the number of links you purchase link to you within 180 days of the
posting of your links page. If at the end of 180 days we are unable
to prove completion of the campaign, we will cheerfully refund the
prorated amount based on the outstanding links minus a 50% link
research fee or we will work on your linking campaign until completed.
Indemnification
Warranty
and Holds Harmless
Each party
warrants that its respective performance of the terms of this
agreement will not in any way constitute knowing, intentional
infringement or violation of any copyright, trade secret, trademark,
patent, invention, proprietary information, or nondisclosure rights of
any third party, and that its respective performance will not include
any action in violation of or the inclusion of any material which is
known to be in violation of local, national or international laws.
Client hereby indemnifies and holds LinkageXpress, Inc. harmless
against all costs (including attorney fees), damages, and liabilities
arising from the negligent or intended acts of the client constituting
the violation of any copyright, trade secret, trademark, patent,
invention, proprietary information, nondisclosure rights of any third
party.
Disclaimer
of WWW Site Activity
LinkageXpress,
Inc. makes no guarantee that the Client's WWW Site will generate any
specific number of "hits" per day, month, quarter, or year.
LinkageXpress, Inc. makes no other guarantees of public awareness of
the client site, and shall be held harmless against any and all
Client-determined loss of revenue associated with Client's WWW Site.
LinkageXpress, Inc. makes no guarantee that the Client's
advertising/publishing space and/or WWW Site will generate revenue for
the client and is in no way responsible for the marketability of
material supplied by the Client.
Assignment
LinkageXpress,
Inc. may assign, delegate, or subcontract any rights or obligations
under this agreement.
Link
Maintenance Agreement
Client will
have the option to enroll in the monthly link maintenance
program. Program includes ongoing link status verification, link
replacement, new link partner evaluations and negotiations, link data
management quarterly reporting of who links to the client site.
General
Amendments
in Writing
No other
amendment to this agreement shall be effective and binding until it is
reduced to writing and signed by both parties.
Applicable
Law
This agreement
shall be governed and construed by the laws of the State of Arizona.
Remedies
Cumulative
Remedies to
either party for breach of this agreement are cumulative and may be
exercised concurrently or separately. The exercise of any one remedy
shall not be deemed an election of such remedy to the exclusion of
other remedies. All remedies granted by this agreement shall be in
addition to and not in derogation of the remedies to which the
aggrieved party may be otherwise entitled at law or equity.
Severability
Any
invalidity, in whole or in part, of any provision of this agreement
shall not affect the validity of any other provision of this
agreement.
